Kohd Group Terms of Use

Last updated: 27 September 2026

These Terms of Use (“Terms”) govern access to and use of websites, platforms, products, demonstrations, trials, digital services, Heritage services, Tiles and other services provided by Kohd Group Limited (“Kohd”, “we”, “us” or “our”).

By accessing or using a Kohd Service, using a demonstration or trial, submitting information or material to Kohd, purchasing or accepting ownership of a Kohd Tile, or providing an approval where the applicable Kohd process requires acceptance of these Terms, you agree to be bound by them.

Where a Club, organisation, customer or other entity has entered into a separate written agreement with Kohd, additional terms may apply. If there is an inconsistency, the specific written agreement will take precedence to the extent stated in it.

1. About Kohd

Kohd Group Limited is registered in England and Wales under company number 14026358.
Registered Office: The Old Bakery, Green Street, Lytham St. Annes, England, FY8 5LG.
Kohd® is a registered trademark of Kohd Group Limited.

2. Definitions

###### 3. Using Kohd Services

You may use Kohd Services only for lawful purposes and in accordance with these Terms. You must not use a Kohd Service unlawfully or fraudulently; impersonate another person; attempt unauthorised access; interfere with security or operation; introduce malicious software; knowingly submit unlawful material; infringe intellectual-property rights; misuse personal information; or otherwise misuse a Kohd Service.

Where Kohd provides an account, login, QR code, approval mechanism or other access method, you are responsible for taking reasonable steps to prevent unauthorised use.

###### 4. Kohd Heritage

Kohd Heritage helps Clubs and their communities research, preserve and share stories, people, photographs and other material connected with their history.

Heritage information may come from Clubs, Tile Owners, members, families, contributors, archives, publications and publicly available sources. Historical records are not always complete or consistent. Accounts may differ and information believed correct at one time may later be corrected or supplemented.

Kohd therefore does not guarantee that every historical fact, date, attribution, photograph, recollection or other item of Heritage Content will always be complete or error-free. Our Heritage processes are designed to provide appropriate opportunities for research, review, correction and approval.

###### 5. AI-assisted research and technology

Kohd may use artificial intelligence and other automated or computer-assisted technologies to search, identify, extract, classify, transcribe, compare, summarise, organise, draft or develop information and Content.

AI-assisted processes can make mistakes and may identify or produce incomplete, outdated, conflicting or incorrect information. Information is not treated as historically proven merely because an automated system identified or produced it.

Kohd may combine automated research with source checking, human review, editorial judgement and approval processes. Use of AI or automated tools does not alter ownership of underlying third-party or contributor material.

###### 6. Demo, trial and preview Tiles

Kohd may allow a person to experience part or all of the Tile creation process before purchase, including through the Riverside Demo Area or another demonstration, trial, preview or prototype.

Use of a Demo does not alter the ownership, intellectual-property, media, research, image, privacy, attribution or Content-governance provisions of these Terms. Those provisions apply whether or not a Tile is subsequently purchased.

Creation of a Demo Tile does not transfer ownership of Kohd Text, artwork or research to the Demo user; grant rights in Kohd templates, layouts, designs or production methods; create a right to source, research, production or editable files; permit reproduction through another supplier; permit independent reuse of Kohd Text or artwork; grant rights in third-party media beyond the rights actually available; or require Kohd to manufacture, publish or continue hosting the Demo.

**No purchase is required for Kohd’s intellectual-property rights to arise or for these Content and media-governance provisions to apply.**

Where Kohd creates Kohd Text, artwork, research outputs, layouts or other protectable material during a Demo or trial, Kohd retains those rights. If the Demo user later purchases the Tile, the Tile-specific licence in these Terms applies; no IP assignment occurs merely because a purchase is made.

###### 7. Tile Owners

A Tile Owner may be invited to review names, facts, stories, photographs, captions, credits and other Content. Kohd may maintain records of Tile Ownership, communications, approvals and other actions relating to a Tile.

Tile Ownership does not transfer ownership of Kohd intellectual property, Kohd Text, Kohd-created editorial Content, artwork or designs, third-party photographs, Club intellectual property, archive or publisher rights, contributor-owned Content or other third-party rights.

###### 8. Transfer of Tile Ownership

Tile Ownership may be transferred where the applicable Kohd Service permits it. A proposed new owner does not become the Tile Owner merely because a transfer has been requested.

Before completing a transfer, Kohd may require the proposed new owner to confirm identity/contact details, confirm acceptance of the transfer and accept the **then-current Kohd Group Terms of Use**.

Kohd may retain an ownership history. A transfer passes only the applicable Tile-specific service rights and licence; it does not transfer Kohd intellectual property, Kohd Text or artwork.

###### 9. Clubs and Club approval

A Tile Owner and Club Approver are separate roles even where the same person performs both. Tile Owner approval does not itself constitute Club approval.

Where Club approval is required before publication, the Club Approver must confirm authority to act for the Club. Kohd may prevent publication until approval is received.

Kohd may retain the approver’s identity/contact details, capacity, Club and Tile, date/time, approved Content revision and applicable Terms version.

Club approval authorises publication within the applicable workflow. It does **not** transfer ownership of Kohd Content, Kohd Text, artwork or third-party Content.

###### 10. Material you provide to Kohd

You may submit photographs, text, recollections, notes, documents, recordings, corrections, stories or other material. Rights you already own in original material remain yours; supplying it does not transfer ownership of that underlying material to Kohd.

By submitting material, you confirm that, to the best of your knowledge, you are entitled to provide it and authorise its proposed use, or have obtained permissions reasonably necessary to do so.

You must not knowingly submit material that infringes IP, breaches confidentiality or privacy, is defamatory, deliberately false or misleading, impersonates another person, or would otherwise make its use unlawful. Notify Kohd promptly if you later become aware of a rights issue.

###### 11. Licence for submitted material

You retain any rights you already own in material you submit.

You grant Kohd a non-exclusive licence to store temporarily, process, reproduce, resize, crop where reasonably necessary, optimise, convert, display and otherwise use submitted material to the extent reasonably necessary to research, provide, operate and maintain the applicable Kohd Service.

This licence does not transfer ownership of your underlying original material to Kohd. Different arrangements may apply where Kohd and a rights holder expressly agree separate written terms.

###### 12. Ownership of Content

Ownership depends on the origin of the Content and who created or developed it.

Submitting, approving, displaying, purchasing or associating Content with a Tile does **not**, by itself, transfer ownership of that Content.

###### 12.1 Contributor Content

A Tile Owner, Club or contributor retains whatever intellectual-property rights they already own in original material supplied to Kohd.

###### 12.2 Third-party Content

Photographs, archive material, publications, Club marks and other material belonging to third parties remain the property of their respective rights holders. Neither a Tile Owner nor a Club acquires ownership merely because third-party material appears in a Tile.

###### 12.3 Historical facts

Historical facts do not become the property of Kohd merely because Kohd researches, verifies, records or publishes them. Copyright or other rights may nevertheless exist in the particular words, photographs, documents, databases, compilations or other works through which those facts are expressed.

###### 12.4 Kohd-created and Kohd-developed Content

Where Kohd creates or develops original written, graphical, editorial, illustrative, digital or other material, Kohd owns the intellectual-property rights arising in Kohd’s original contribution to the extent recognised by applicable law.

###### 13. Kohd Text

**All Kohd Text remains the intellectual property of Kohd Group Limited to the extent protected by applicable law.**

This includes text and editorial Content created or developed by or for Kohd through research, writing, rewriting, editing, summarisation, verification, selection, structuring, compilation, arrangement, captioning, title or heading creation, human editorial work, AI-assisted processes, or combinations of those activities.

Where a Tile Owner, Club, Demo user or contributor provides facts, memories, notes, responses or source material and Kohd uses them to create or develop Kohd Text, the supplier retains rights in their underlying original material but does **not** acquire ownership of the Kohd Text produced from or with that material.

Approval, payment, Tile Ownership, transfer, removal or Demo use does not transfer ownership of Kohd Text. Unless Kohd agrees otherwise in writing, Kohd Text is licensed only as part of the relevant Kohd Service or Tile under these Terms.

###### 14. Kohd research, editing and development of Content

Kohd may research, verify, select, edit, rewrite, summarise, structure, combine, arrange or otherwise develop information and submitted material into a Heritage story, Tile, digital presentation or other Content.

Contributors retain rights in their underlying original material. Kohd retains rights arising in Kohd’s original editorial, creative, compilation, design and other protectable contributions.

Use of AI or automated tools does not give Kohd ownership of another person’s underlying material. Kohd claims rights only to the extent applicable law recognises rights in work or contributions created by or for Kohd.

###### 15. Kohd Content, artwork and Tile designs

Kohd may create Heritage stories and editorial Content, Kohd Text, Tile artwork, graphical compositions, illustrations, layouts, typography and graphical treatments, Tile designs, digital Tile representations, associated digital experiences, compilations and other creative material.

Except for underlying third-party material, **Kohd Group Limited owns the intellectual-property rights in original Content, artwork, designs and other protectable material created by or for Kohd.**

This applies to Heritage Tiles and, unless separately agreed otherwise, Commercial, Legends and future Kohd Tile products. Purchasing, commissioning, sponsoring, owning or transferring a Tile does **not** assign those rights.

###### 16. Tile-specific licence

Where a customer purchases or is otherwise provided with a Kohd Tile, Kohd grants the Tile Owner and, where applicable, the relevant Club a limited, non-exclusive licence to use and display **that specific Tile** for its intended purpose.

The licence permits use, display and sharing of the finished physical Tile and associated Kohd digital experience through methods provided or expressly authorised by Kohd.

**No broader licence is granted.** Payment is consideration for the Tile product/service and applicable Tile-specific use right; it is not a purchase or assignment of Kohd IP, Kohd Text, artwork, production assets or other proprietary material.

###### 17. Reproduction, recreation and reuse of Kohd Tiles, Content and artwork

Except as expressly permitted by these Terms or authorised by Kohd in writing, no person may copy, reproduce, recreate, replicate, adapt or produce a substantially similar reproduction of a Kohd Tile or Kohd-created component of a Tile.

This restriction applies whether reproduction is carried out manually, photographically, digitally, by tracing, scanning or redrawing, through another designer, manufacturer or service provider, using artificial intelligence, generative AI, image-to-image systems or other automated tools, or by extracting, analysing or reproducing individual elements and subsequently recombining them.

Without Kohd’s prior written permission, you must not:

– separately copy, reproduce or recreate Tile artwork;

– extract graphical elements from a Tile;

– reproduce Kohd artwork on another product;

– reproduce a Kohd Tile through another manufacturer;

– reproduce or recreate Kohd layouts, illustrations, graphical compositions or other protected visual elements;

– reuse Kohd-created illustrations independently of the Tile;

– copy or republish Kohd Text independently of the Tile or Kohd Service;

– copy or republish Kohd-created stories, captions or editorial Content independently of the Tile;

– extract Kohd Content for another website, archive, product or service;

– create modified, derivative or substantially similar versions of Kohd artwork or Content;

– remove Kohd branding, copyright notices, rights notices or attribution;

– sell, sublicense or otherwise commercially exploit Kohd-created Content;

– use Kohd Content or artwork to create merchandise or another commercial product;

– provide a Tile, Kohd artwork, production material or other Kohd Content to another manufacturer, designer, developer or supplier for reproduction;

– use Kohd artwork, Kohd Text or other Content as input or reference material for the purpose of recreating the same or substantially similar material using artificial intelligence or another automated system;

– use Kohd Text to create a replacement or competing Tile, story, product or service;

– create an unauthorised replacement, replica, derivative or substantially similar physical or digital Tile experience; or

– use rights associated with one Tile as authority to reproduce Content associated with another Tile.

The limited Tile-specific licence granted under these Terms permits use of the relevant finished Tile. **It does not grant a right to reproduce or recreate the Tile or its underlying Kohd-created components.**

###### 18. Sharing a complete Tile

Tile Owners and relevant Clubs may, unless Kohd specifies otherwise, share a photograph, screenshot or Kohd-provided representation of the **complete Tile** for ordinary non-commercial purposes such as Club websites, social media, newsletters, member communications and promotion of the Tile/story.

The Tile should remain substantially intact and Kohd branding and rights notices must not deliberately be removed. This permission does not allow extraction or independent reuse of underlying artwork, Kohd Text, other Content or Kohd IP.

###### 19. Effect of Tile Ownership transfer on the licence

When Tile Ownership is validly transferred, the applicable Tile-specific licence passes to the new Tile Owner after transfer requirements are completed.

The transfer does **not** transfer Kohd IP, Kohd Text or artwork. The new owner receives the same limited Tile-specific rights, subject to the then-current Terms accepted as part of the transfer.

###### 20. Photographs and image processing

Kohd Services are designed to present images efficiently across digital devices, particularly mobile devices.

Submitted images may be resized, compressed, converted to another format, automatically oriented, stripped of unnecessary technical metadata and otherwise optimised for Kohd Services.

**Kohd is not an original-file storage or backup service.**

Once Kohd has successfully produced and verified the service copy required for its platform, the originally submitted file may be deleted in accordance with Kohd’s operational retention processes. You should retain your own originals.

Media-governance provisions apply to purchased Tiles, Demo Tiles, trials and previews.

###### 21. Images and information found publicly

Kohd research may identify photographs, documents and information from public websites, archives, publications or other sources. Public availability does **not** necessarily mean material is free from copyright or other rights.

Where reasonably possible and appropriate, Kohd may record source, publisher, photographer, attribution, link, discovery information and other provenance. Where Kohd does not have an appropriate basis to reproduce an item, we may link to or reference the source rather than host a copy.

###### 22. Image credits and attribution

Kohd aims to preserve known image credits and source information where reasonably practicable. Credits and attribution may be corrected or updated when better information becomes available.

If you believe material has been incorrectly attributed, contact Kohd so the matter can be reviewed.

###### 23. Removal and deletion of Tile Content

A Tile Owner or authorised representative of the relevant Club may request removal of a Tile or particular Tile Content by contacting Kohd through the designated email or contact method. Kohd may authenticate the requester before acting.

Following a valid request, Kohd will take reasonable steps to remove relevant Content from public display and, where appropriate, delete corresponding service Content from active Kohd systems.

Kohd may retain information reasonably necessary for legal or regulatory obligations, accounting, security, fraud prevention, dispute resolution, enforcement of rights or an appropriate audit record. A minimal audit record may remain showing, for example, that a Tile existed, who requested removal and when action was taken.

Removal or deletion does **not** transfer Kohd IP, Kohd Text or artwork. Where Kohd removes Content it owns, its underlying rights remain with Kohd.

###### 24. Copyright concerns, corrections and takedowns

If you believe Content infringes copyright or another legal right, is incorrectly attributed, contains a material factual error, was published without appropriate authority, or should otherwise be reviewed or removed, contact Kohd with sufficient information to identify the Content and explain the concern.

Kohd may temporarily restrict, amend or remove disputed material while reviewing the matter. Nothing in this process prevents a rights holder from exercising rights available under applicable law.

###### 25. Historical sensitivity and potentially offensive material

Historical records may contain terminology, opinions, events, imagery or recollections now considered outdated, contentious or offensive. Inclusion does not necessarily mean Kohd endorses the views, language or conduct represented.

Kohd may refuse, edit, restrict, contextualise or remove material where reasonably considered appropriate for legal, safeguarding, privacy, accuracy, reputational or service-integrity reasons, and may correct Heritage Content when credible new information becomes available.

###### 26. Synthetic and AI-generated imagery

Kohd does not intend to present AI-generated or synthetic imagery as authentic historical photography.

Kohd does not intend to use generative technology to create deceptive replicas of protected artwork or misleading representations or lookalikes of identifiable people and present them as genuine historical material.

Where illustrative or synthetic imagery is used, it may be subject to additional controls and appropriate identification.

###### 27. Kohd intellectual property

Unless otherwise stated, Kohd owns or is licensed to use the intellectual-property rights in its websites, platform, software, systems, branding and proprietary materials.

This may include software and source code; websites and digital experiences; designs and layouts; Tile formats and presentation; graphical systems; databases and data structures; workflows; research and production processes; automation; documentation; original written Content; Kohd Text; artwork; production files; templates; and branding.

Except where these Terms expressly permit it or applicable law gives a right that cannot lawfully be excluded, you must not reproduce, publish, distribute, commercially exploit or create derivative copies of Kohd proprietary material without prior written permission.

###### 28. Reverse engineering and competitive replication

You must not use Kohd Services to unlawfully obtain, reproduce or disclose non-public Kohd technology, proprietary processes or confidential information.

Except to the extent expressly permitted by applicable law, you must not systematically reverse engineer, extract or reproduce Kohd’s proprietary service architecture, workflows, data structures, automation, non-public functionality, production methods or other protected materials for the purpose of creating or assisting the creation of a competing or substantially similar service.

Nothing in this clause restricts rights that applicable law says cannot be restricted by contract.

###### 29. Automated access, scraping and AI systems

Unless Kohd has given prior written permission, you must not use automated systems in a manner that materially interferes with Kohd Services or systematically extracts Kohd proprietary material contrary to these Terms.

This includes crawlers, scrapers, bots, automated agents and AI systems used to systematically acquire non-public functionality, proprietary datasets, Kohd Text, protected Content, service structures or other proprietary material for training, developing, benchmarking or operating a competing product or service.

Any permitted automated access must comply with applicable technical restrictions, intellectual-property rights and these Terms.

###### 29A. Kohd Tile System, identifiers and QR-linked experiences

Kohd Tiles may contain or use a unique or dynamically generated QR code, identifier, URL, NFC identifier or other mechanism that connects a physical Tile with a Kohd-managed digital experience.

The identifier, resolver, associated digital experience and the Kohd System used to manage Content, media, provenance, approvals, ownership, updates, transfers and takedowns form part of the Kohd Service and may contain or embody Kohd intellectual property, confidential know-how and other proprietary material.

Unless expressly authorised by Kohd in writing, a Tile Owner, Club, Demo user or other person must not:

– replace, redirect, alter or interfere with a Kohd Tile identifier or resolver;

– reproduce a Kohd QR code or identifier for use on another product or unauthorised copy;

– clone or reproduce a Tile’s physical-to-digital relationship;

– create an unauthorised duplicate physical or digital Tile that resolves to the same, copied or substantially similar digital Content;

– use Kohd identifiers, resolver behaviour, URLs, metadata, Content structures or digital presentation to create a competing, replacement or substitute service;

– systematically analyse, probe or reverse engineer Kohd’s QR, identifier or resolver architecture for the purpose of reproducing or competing with the Kohd Service;

– copy the structure or presentation of the associated digital Tile for use outside the authorised Kohd Service;

– circumvent ownership, approval, provenance, media-governance, access or Content-governance controls; or

– represent another product, service or digital experience as forming part of the Kohd Tile System when it has not been authorised by Kohd.

A Tile-specific licence permits use of the QR code, identifier or other linking mechanism **only as incorporated into or expressly supplied for the relevant authorised Tile**.

Nothing in these Terms claims ownership of an abstract idea, fact, method or functionality that applicable law does not protect. These provisions protect Kohd’s contractual rights and its rights in the particular software, implementation, Content, artwork, designs, data structures, identifiers, documentation, confidential know-how and other protectable elements of the Kohd System.

###### 30. Kohd trademarks

**Kohd®**, its logos and associated names and brand identifiers are trademarks or other protected brand assets of Kohd Group Limited.

Nothing in these Terms grants permission to use Kohd trademarks or branding except where Kohd has expressly authorised that use.

###### 31. Accuracy and reliance

Kohd takes reasonable steps appropriate to the relevant Service to research, organise and present information. Particularly for historical material, Kohd cannot guarantee that all information will always be complete, current or accurate.

Where information is important for legal, financial, medical, safety or other professional decisions, you should obtain appropriate independent advice rather than relying on Heritage Content.

###### 32. Third-party websites and services

Kohd Services may contain links to third-party websites, archives, services or resources. Kohd does not control those third parties and is not responsible for their availability, content, security or privacy practices.

A link does not necessarily mean Kohd endorses the third party or its content.

###### 33. Availability and changes to Services

Kohd may update, improve, replace, suspend or discontinue features of its Services. We do not guarantee that every Service or feature will always be available without interruption.

Where a paid Service or separate Club/customer agreement contains additional service commitments, those commitments apply in accordance with that agreement.

###### 34. Suspension and misuse

Kohd may restrict or suspend access where we reasonably believe these Terms have been materially breached; a Service is being used unlawfully or fraudulently; another person’s rights are being infringed; security or service integrity is at risk; or suspension is reasonably necessary while a complaint or dispute is investigated.

###### 35. Privacy and personal information

Kohd processes personal information in accordance with its applicable privacy notice and data-protection obligations.

Heritage Services may involve information about Tile Owners, contributors, Club representatives and other individuals. Where you provide personal information about another person, you should ensure that you have an appropriate basis for doing so.

Kohd may use personal information and limited technical information as reasonably necessary to administer Tiles, ownership, approvals, transfers, communications, complaints, takedowns and Terms acceptance.

Our privacy information should be read alongside these Terms.

###### 36. Evidence of acceptance and approvals

Where a Kohd workflow requires acceptance of these Terms or approval of Content, Kohd may retain evidence of that acceptance or approval.

This may include the identity and contact details of the person accepting; the capacity in which they accepted; the relevant Club, Tile or Service; date and time; applicable Terms version; an identifier or fingerprint of that version; the Content/revision approved; and relevant technical audit information.

Updating these Terms does not retrospectively change the version recorded as accepted for an earlier transaction or approval.

A proposed new Tile Owner may therefore be required to accept a newer version of these Terms than a previous Tile Owner.

###### 37. Changes to these Terms

Kohd may update these Terms from time to time, including where Services, technology, legal obligations or operating practices change.

The current version will be published on the Kohd Terms of Use page together with its last-updated date.

Where appropriate, Kohd may require users, Tile Owners, Demo users or authorised Club representatives to accept an updated version before carrying out a particular action.

###### 38. Liability

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including any liability that cannot lawfully be excluded or limited under applicable law.

Subject to applicable law and any separate written agreement, Kohd does not warrant that historical Content will be complete or error-free and is not responsible for loss caused solely by reliance on historical information where the limitations and review processes described in these Terms have been made clear.

Different liability provisions may apply to paid Services, business customers or consumers under their applicable agreement.

This clause, and any wider limitation-of-liability or indemnity provisions, should be reconciled with Kohd’s B2B/service agreements and reviewed by a UK commercial solicitor before final legal adoption.

###### 39. Governing law and jurisdiction

These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of England and Wales, subject to mandatory rights that apply under applicable law.

The courts of England and Wales will have jurisdiction, except where applicable law gives a user the right to bring proceedings elsewhere.

###### 40. Contacting Kohd

Questions about these Terms, Heritage Content, copyright, attribution, corrections, ownership, licensing or takedown requests can be sent to Kohd using the contact details published on the Kohd website.
